# Terms and Conditions (End User License Agreement) **Last Updated:** January 25, 2026 ## 1. Agreement to Terms This End User License Agreement ("EULA") is a legal agreement between you ("End-User" or "you") and Covenant Fuel ("Company", "we", "us", or "our") for the Covenant Fuel mobile application ("Licensed Application"). **IMPORTANT:** By downloading, installing, or using the Licensed Application, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not download, install, or use the Licensed Application. ## 2. Apple-Specific Terms ### 2.1 Acknowledgment This EULA is concluded between you and Covenant Fuel only, and not with Apple Inc. ("Apple"). Covenant Fuel, not Apple, is solely responsible for the Licensed Application and the content thereof. This EULA does not provide for usage rules for the Licensed Application that are in conflict with the Apple Media Services Terms and Conditions as of the Effective Date. ### 2.2 Scope of License The license granted to you for the Licensed Application is limited to a non-transferable license to use the Licensed Application on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that such Licensed Application may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing. ### 2.3 Maintenance and Support Covenant Fuel is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as specified in this EULA, or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application. ### 2.4 Warranty Covenant Fuel is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Licensed Application to you (if applicable); and, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be Covenant Fuel's sole responsibility. ### 2.5 Product Claims Covenant Fuel, not Apple, is responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and/or use of the Licensed Application, including, but not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation. ### 2.6 Intellectual Property Rights In the event of any third-party claim that the Licensed Application or your possession and use of the Licensed Application infringes that third party's intellectual property rights, Covenant Fuel, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim. ### 2.7 Legal Compliance You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. ### 2.8 Developer Contact Information For any questions, complaints or claims with respect to the Licensed Application, please contact: **Covenant Fuel** Email: support@covenantfuel.com Address: 971 US Highway 202 N, STE N, Branchburg, NJ 08876 ### 2.9 Third-Party Terms of Agreement You must comply with applicable third-party terms of agreement when using the Licensed Application (e.g., you must not be in violation of your wireless data service agreement when using the Licensed Application). ### 2.10 Third-Party Beneficiary Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof. ## 3. License Grant Subject to your compliance with this EULA, Covenant Fuel grants you a limited, non-exclusive, non-transferable, revocable license to: - Download, install, and use the Licensed Application on your personal device(s) solely for your personal, non-commercial use - Access and use the features and services provided through the Licensed Application ## 4. License Restrictions You agree NOT to: - Copy, modify, or create derivative works of the Licensed Application - Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Licensed Application, except to the extent permitted by applicable law - Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the Licensed Application - Use the Licensed Application for any unlawful purpose or in violation of any applicable laws or regulations - Rent, lease, lend, sell, redistribute, or sublicense the Licensed Application - Use the Licensed Application to transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature - Interfere with or disrupt the Licensed Application or servers or networks connected to the Licensed Application - Attempt to gain unauthorized access to any portion of the Licensed Application or any other systems or networks ## 5. Intellectual Property ### 5.1 Ownership The Licensed Application, including all copyrights, patents, trademarks, trade secrets, and other intellectual property rights are, and will remain, the exclusive property of Covenant Fuel. This EULA does not grant you any rights to use Covenant Fuel's trademarks, logos, domain names, or other brand features. ### 5.2 License, Not Sale This EULA grants you a license to use the Licensed Application. You acknowledge that you are not purchasing or acquiring any ownership rights in the Licensed Application. ## 6. Data Collection and Privacy Your use of the Licensed Application is also governed by our Privacy Policy, which is incorporated into this EULA by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your information. The Licensed Application collects and processes: - **Location Data**: To calculate distances to fuel stations and display them on the map - **Device Information**: For app functionality and crash diagnostics - **Usage Data**: To improve app performance and user experience **Important**: Your location data is processed locally on your device and is never transmitted to our servers or shared with third parties. ## 7. User Accounts and Authentication ### 7.1 Account Creation Certain features of the Licensed Application require you to create an account using your Employee ID and password. You are responsible for: - Maintaining the confidentiality of your account credentials - All activities that occur under your account - Notifying us immediately of any unauthorized use of your account ### 7.2 Account Deletion You have the right to delete your account at any time through the app settings. Upon deletion: - Your account and associated personal data will be permanently deleted within 30 days - We may retain certain data as required by law (e.g., transaction records for tax purposes) or for legitimate business interests (e.g., fraud prevention) - Deletion is irreversible and you will lose access to all account-related features ## 8. Prohibited Conduct You agree not to use the Licensed Application to: - Violate any applicable laws or regulations - Infringe upon the rights of others - Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable - Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity - Interfere with or disrupt the Licensed Application or servers or networks connected to the Licensed Application ## 9. Termination ### 9.1 Termination by You You may terminate this EULA at any time by deleting the Licensed Application from your device(s) and ceasing all use of the Licensed Application. ### 9.2 Termination by Us We may terminate or suspend your access to the Licensed Application immediately, without prior notice or liability, for any reason, including if you breach this EULA. Upon termination, your right to use the Licensed Application will immediately cease. ### 9.3 Effect of Termination Upon termination: - All licenses granted to you under this EULA will immediately terminate - You must cease all use of the Licensed Application and delete all copies from your devices - Sections that by their nature should survive termination will survive, including intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability ## 10. Disclaimer of Warranties TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE LICENSED APPLICATION WILL BE UNINTERRUPTED OR ERROR-FREE. Covenant Fuel does not warrant that: - The Licensed Application will meet your requirements - The Licensed Application will be available on an uninterrupted, timely, secure, or error-free basis - The results obtained from the use of the Licensed Application will be accurate or reliable - The quality of any products, services, information, or other material obtained through the Licensed Application will meet your expectations **Savings Clause**: Nothing in this EULA shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by applicable law. ## 11. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COVENANT FUEL, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: - Your access to or use of or inability to access or use the Licensed Application - Any conduct or content of any third party on the Licensed Application - Any content obtained from the Licensed Application - Unauthorized access, use, or alteration of your transmissions or content WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. **Jurisdictional Limitations**: Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. In such jurisdictions, our liability will be limited to the greatest extent permitted by law. ## 12. Indemnification You agree to defend, indemnify, and hold harmless Covenant Fuel, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with: - Your access to or use of the Licensed Application - Your violation of this EULA - Your violation of any third-party right, including any intellectual property right or privacy right - Any claim that your use of the Licensed Application caused damage to a third party ## 13. Updates and Modifications ### 13.1 App Updates We may from time to time provide updates, upgrades, or new versions of the Licensed Application. Such updates may be automatically downloaded and installed without prior notice. You consent to such automatic updates. This EULA will govern any updates unless the update is accompanied by a separate license agreement. ### 13.2 Changes to Terms We reserve the right to modify this EULA at any time. If we make material changes, we will notify you by updating the "Last Updated" date at the top of this EULA and, where appropriate, provide additional notice (such as an in-app notification). Your continued use of the Licensed Application after such modifications constitutes your acceptance of the updated EULA. ## 14. Governing Law and Dispute Resolution ### 14.1 Governing Law This EULA shall be governed by and construed in accordance with the laws of New Jersey, United States, without regard to its conflict of law provisions. ### 14.2 Dispute Resolution Any disputes arising out of or relating to this EULA or the Licensed Application shall be resolved through: 1. **Informal Negotiation**: The parties agree to first attempt to resolve any dispute through informal negotiation 2. **Arbitration**: If informal negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of American Arbitration Association (AAA) 3. **Court Jurisdiction**: For disputes that cannot be arbitrated, you agree to submit to the personal and exclusive jurisdiction of the courts located in New Jersey, United States ## 15. Severability If any provision of this EULA is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired. ## 16. Entire Agreement This EULA, together with our Privacy Policy, constitutes the entire agreement between you and Covenant Fuel regarding the Licensed Application and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter. ## 17. No Waiver No waiver of any term of this EULA shall be deemed a further or continuing waiver of such term or any other term, and Covenant Fuel's failure to assert any right or provision under this EULA shall not constitute a waiver of such right or provision. ## 18.
